1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Avena Technologies Limited, a company registered in England and Wales under company number 17004284, trading as Unifybase ("Unifybase," "we," "us," or "our"), governing your use of our knowledge management platform at unifybase.io.

By accessing or using the Platform, you agree to be bound by these Terms.

2. Eligibility & Account Registration

Age Requirements

You must be at least 18 years of age to use the Platform.

Account Security

You are responsible for:

• Providing accurate account information
• Maintaining the security of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3. Service Plans & Subscription Terms

Service Tiers

• Free Tier: Limited access with usage restrictions
• Pro Plan: Enhanced features as listed on our pricing page

Billing

• Subscriptions are billed monthly
• Automatic renewal unless cancelled
• Fees are non-refundable except as required by law
• Cancel anytime (effective end of billing cycle)

Usage Limits

Each plan has limits on files, storage, AI requests, and team members. Exceeding limits may result in throttling or required upgrades.

4. Acceptable Use Policy

You agree NOT to:

• Upload illegal, harmful, or infringing content
• Use automated means (bots, scrapers) to access the Platform
• Attempt unauthorized access or security breaches
• Reverse engineer or copy the Platform
• Use the Platform to develop competing products
• Send spam or engage in fraudulent activities
• Violate any applicable laws or regulations

Violations may result in immediate account suspension or termination and legal action.

5. Intellectual Property Rights

Your Content

You retain ownership of all content you upload to Unifybase.

By uploading content, you grant us a limited, non-exclusive license to process it solely to provide the Service (AI analysis, storage, search, etc.). This license terminates when you delete your content or your account.

AI-Generated Content

Documents and content generated by our AI features are assigned to you, subject to your compliance with these Terms. We recommend reviewing all AI-generated content for accuracy before relying on it.

Our Platform

The Unifybase platform, its design, code, and features are the intellectual property of Avena Technologies Limited and are protected by applicable law.

6. Privacy & Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you agree to our Privacy Policy.

Upon account deletion, your data will be removed within 30 days. Residual copies in backups are overwritten within an additional 30 days. For full details on data retention, see our Data Retention Policy.

7. AI Disclaimers and Limitations

AI Limitations

• Accuracy: AI may produce incorrect or outdated information
• Hallucinations: AI may generate plausible-sounding but false content
• No Professional Advice: Not a substitute for legal, medical, financial, or other professional advice
• Bias: AI models may reflect biases from training data

Third-Party AI (OpenAI)

We use OpenAI's models to process your content. OpenAI's Terms and Privacy Policy apply. Your content is not used to train OpenAI's models.

8. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

No Warranties

We do not guarantee that the Service will be:

• Uninterrupted, secure, or error-free
• Accurate, reliable, or complete
• Free of viruses or harmful components

Liability Cap

Our total liability to you for any claims arising from the Service is limited to the greater of: (a) the amount you paid us in the 12 months before the claim, or (b) $100.

No Consequential Damages

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Termination

By You

You may cancel your account at any time through account settings.

By Us

We may suspend or terminate your account if you:

• Violate these Terms or our policies
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity

Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Your data will be deleted within 30 days (except as required by law)
• No refunds for unused subscription time
• Certain provisions (liability, disputes, intellectual property) survive termination

10. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or in-app notification.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Service and close your account.

11. General Provisions

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Avena Technologies Limited regarding the Service.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
